I. USE OF A COCOCEL ACCOUNT VIA THIS WEBSITE OR MOBILE APPLICATION

BY ACTIVATING AN ACCOUNT OR USING THE COCOCEL.COM SERVICE ON THIS WEBSITE OR ITS MOBILE APPLICATION, YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THIS AGREEMENT AND THAT YOU HAVE READ AND FULLY UNDERSTOOD THE TERMS AND CONDITIONS OF THIS CONTRACT. THE USER AGREES THAT ALL SALES OF GOODS AND/OR PRODUCTS THROUGH THIS WEBSITE AND/OR THE COCOCEL MOBILE APPLICATION ARE FINAL AND NON-REFUNDABLE, PROVIDED THAT THE BUYER HAS PLACED AN ORDER THROUGH THEIR ACCOUNT ON THIS WEBSITE OR MOBILE APPLICATION.

A. Electronic Signature

- These Terms and Conditions are subject to the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) of 2000, as amended, and it is agreed that it constitutes an Agreement between Cococel and you.

B. Terms and Conditions Apply to All Services and Sales

- The provision of services offered through www.cococel.com (the "website"), the Cococel mobile application (the "application"), or as otherwise described herein, is subject to the acceptance of these Terms and Conditions. By using our services and clicking "Create Account" upon registration, the user expressly agrees to be bound by the Terms and Conditions applicable to the services provided by Cococel, and the privacy terms. Please ensure you read these Terms carefully before accessing Cococel's services or registering as a new user (creating an account) as they contain important information about the Services offered and the Terms and Conditions for their use. These Terms and Conditions are subject to modification by Cococel at any time. It is important that you review them each time you process an order. Each version is specifically updated with the effective date. Thus, orders are governed by the online Terms and Conditions effective at the time the order is placed. If you object to any of the aforementioned Terms and Conditions, any modifications thereof, or are dissatisfied with their quality, you may: a) Not create and/or register your account; or b) terminate this Agreement and discontinue access to the website and application by providing written notice via email to support@cococel.com.

C. Governing Law, Jurisdiction, and Venue

- This agreement and the terms of use shall be exclusively governed by and construed in strict accordance with the laws of the state of Delaware without regard to its conflict of laws theories, case law, or principles. The user, by virtue of registering an account, using, or purchasing through this website, agrees to submit exclusively to the jurisdiction of the state and federal courts of Lewes, Delaware, and expressly waives all defenses to the personal jurisdiction of such courts.

D. Lawful Use of Account, Website, and Application

- The user/customer agrees and warrants that they will not use this website or the Cococel mobile application in any way that causes, or may cause, damage or impairment of the availability or accessibility of the site and its application; or in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity. The user/customer agrees and warrants not to use this website to copy, store, host, transmit, send, use, publish, or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit, or other malicious computer software. The user/customer agrees not to conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction, and data harvesting) on or in relation to this website without Cococel's prior written consent - email does not constitute written consent. The user/customer will not use this website or mobile application to transmit or send unsolicited commercial communications or for any purposes related to marketing without Cococel's express written consent. The user/customer may view, download information and images from the website for caching purposes only, and print pages from the website for personal use only. The user/customer agrees not to republish material from this website (including republication on another website); sell, rent, or sub-license material from the website; show any material from the website in public; reproduce, duplicate, copy, or otherwise exploit material on this website for a commercial purpose; edit or otherwise modify any material on the website; or redistribute material from this website (except for content specifically and expressly made available for redistribution). Where and if content is specifically made available for redistribution, it may only be redistributed within your organization, and the user is fully responsible for its subsequent use or misuse.

E. These Terms and Conditions Constitute an Electronic Contract

- All services or products displayed, marketed, offered, reviewed, or otherwise accessed, posted, or purchased through this site or this application are done so under the responsibility of the user/customer and by contract in electronic format. The U.S. federal E-SIGN Act applies to this agreement and all transactions through the Cococel website. In addition to this display in the browser, Cococel will make all Terms and Conditions available in electronic format upon express request. You may request access to these electronic documents in Adobe Acrobat or standard text formats. At all times, you reserve the right to request and receive these documents in paper form, upon request to the Cococel email address.

F. Shared Accounts Prohibited

- The user/customer represents and warrants that they will maintain only one account attributable to themselves and will not create or use false accounts, ghost accounts, or accounts that do not correspond to phone numbers and email addresses directly under their control, and that they are the authorized holders of any credit, debit, or bank card registered with a Cococel account. If you are an employee of a company or other entity or are acting on behalf of a company, the account must list the company as the account user with your full name and you must be authorized by the company to accept the Terms and Conditions of use on behalf of that employer, company, or entity. Otherwise, and in accordance with these Terms and Conditions, the account may be suspended or terminated.

G. Connection via Proxy/VPN

When a customer is detected conducting a transaction using a connection from a VPN/Proxy, the services they have purchased will be immediately voided.

II. USE OF ACCOUNT, WEBSITE, AND APPLICATION FOR OUR SERVICES

A. Account Setup and Cancellation:

The following is required and applies to any user account setup. If you have any questions, you may contact Cococel through its Customer Service.

i. Account Profile Setup

- To benefit from Cococel's service, the customer must create an account or use their Google/Facebook profile to do so. When creating an account, the customer must provide accurate, complete, and current information as requested in the registration form. The customer agrees that the information they provide is truthful, accurate, and complete. Providing false, inaccurate, or misleading information when creating or updating an account with Cococel violates these Terms and may result in the immediate cancellation of your Cococel account. Any changes you make after the account is created, such as phone number or user name, must be updated in your Profile, and you are solely responsible for updating this information. All personal information, including financial information ("Data"), that you provide to us as a member will be treated in accordance with the Privacy Statement. Once registered, the customer receives a username and password and is fully responsible for all activities that occur under their account, including the unauthorized use of their credit card(s). The customer must immediately notify Cococel of any unauthorized use of their account at the following address: support@cococel.com

ii. Setting Up an Account

- With Cococel, you can create an account by accessing the Website or the Mobile Application. You will need to create a username, which will be a valid email address associated with your account, and you will need to enter a password. You are responsible for immediately updating any account information. You must protect your information and not disclose your password to third parties. If you forget or lose your password, you must request a new one in the "Forgot my Password" section of the website or mobile application. Each email address and password must be used by a single user and are non-transferable.

iii. User Verification

- Once your account has been created, we will ask you to verify it. Cococel will send an email to the provided address where you must activate your account to begin using it. Similarly, we will verify the phone number by sending a code via SMS, which you must enter in the required field to complete the registration process. Once finished, your account will be ready for Top-Ups, sending messages, and making international calls.

iv. User Account Setup Limitations

- Note that if you are unable to register your phone number, it is because Cococel currently does not have a valid contract with the country where you are located to make calls. However, you can still perform top-ups and send SMS.

v. Closing or Cancelling Your Account

- You may close your Cococel account at any time. You must write an email from the same email address used to create the account and send your request to support@cococel.com. YOU UNDERSTAND AND AGREE THAT CLOSING, ABANDONING, OR CANCELLING YOUR ACCOUNT WILL RESULT IN THE FORFEITURE OF ANY AND ALL CREDITS AND BONUSES IN YOUR ACCOUNT (WHETHER CREDIT FOR PREPAID SERVICES SUCH AS CALLS, SMS, ETC., OR PENDING TOP-UP SERVICES, AS DESCRIBED HEREIN). ALL CREDIT PURCHASES ARE FINAL AND WILL NOT BE REFUNDABLE. In the event that you have created a new account and this is the reason for the cancellation, your credits for prepaid services such as Calls, SMS, or Top-Up services will be transferred to the new account.

B. GENERAL USE OF THE ACCOUNT AND PURCHASED SERVICES

i. Use for the Purchase/Sale of Services

- Cococel offers its users an innovative platform for sending SMS, mobile balance top-ups, internet accounts, and international calls. By accepting the Terms and Conditions and using our services, you represent and warrant that you will not use the service in any way that violates any copyright, intellectual property, or other rights. Violations or potential violations must be immediately reported to support@cococel.com. These services are provided "as is," without any warranty beyond what they may provide. Even so, Cococel will make every effort to provide users with a satisfactory experience while using its services.

ii. International Call Purchases

- International calls are calls made outside of your country. These calls will be made using the prepaid balance in your Cococel account. The per-minute rates for International calls according to the destination country are available in the mobile application. International calls require a functioning microphone and speakers. The user making the call must ensure there is a good internet connection and good coverage in that area, and similarly, the person receiving the international call must ensure they have the same resources. International calls are made through a local number associated with your Cococel account, previously declared by you during your account creation, or using a direct internet connection via data or Wi-Fi. The durations of international call services are billed in 1-minute increments. For example, if your call duration is 7 minutes and 25 seconds, you will be charged for 8 minutes of call time. International calls can only be made from the mobile application (ensure you are using the most recent version of the application).

iii. SMS Service Purchases

- SMS is a prepaid service that allows our users to send text messages to cell phones in other countries. To use the SMS service, you must purchase credit for your Cococel account. This service is offered in packages that reflect the respective rate to be charged. The details are available on our website and mobile application. Once your account has been credited, the next step is to enter the number of the person to whom you wish to send the text message. Cococel only allows a maximum of 160 characters to be sent per SMS (OUT). Each time you send a message, it will be deducted from the number of messages in the package you purchased. Please note that you can receive messages on your mobile from any country. In this case, charges may apply that include, but are not limited to, charges from the telephone service provider for the person sending your messages.

iv. Sales to Authorized Users

- When you successfully make a purchase, you agree that you are the authorized user of the account and that all information provided is true. The system, according to established parameters, will ask users for verification of that payment method.

v. Usage Issues

- All questions, malfunctions, complaints, or recommendations should be communicated via email to support@cococel.com, or by using the Contact Us service available on our homepage and in our mobile application.

C. Account Purchase Restrictions

- Certain limits apply when using these services. Customers with more than one account will be consolidated and considered as one, and the entire balance will be subject to the following restrictions:

i.

Customers may not perform more than 3 top-ups per transaction with Cococel.

ii.

Customers may not exceed the transaction limit of $300 (USD) per day with Cococel.

D. Refunds

There will be no refunds after the day of purchase has ended. In special cases, if a refund is decided upon, it will be issued within 24 to 72 hours from the time of purchase for reasonable errors. If you qualify for a refund, once it has been processed, it may take up to 15 business days to be reflected in your financial statement.

i. Refund and Return Policy

- Cococel will analyze each case. After conducting an internal investigation and corroborating with the corresponding provider that the user is correct and that there has been a system failure, the credits spent on uncompleted services, such as sending an SMS or low-quality calls, will be returned to their bank account. In the case of Top-Ups, once sent, Cococel will not issue a refund for such a transaction unless there is proof of errors made directly by the company. If the delivery service was successfully processed with the information provided by the account owner, it does not qualify as a direct error, with the user being solely responsible for any errors made during the sending of top-ups to the recipient number. Users are responsible for confirming that the number they are sending a top-up to is valid. When top-ups are sent and cannot be delivered, having a failed status, the user may choose one of the following options:

a. Option 1: Top up another account/number.

b. Option 2: Transfer your credit to our other services: Calls or Messages.

In the event a customer decides not to continue using the services offered by Cococel, at our discretion, the company will assess whether a refund will be issued to the credit card registered as the payment method for the total remaining credit in their Cococel account, if the refund period is still active. Any successful payment that has not been used on our services may be refunded within a period of 90 calendar days (refund period). If the payment exceeds that time, we will not be able to refund it, and the credit will remain in your Cococel account for you to use until it is depleted. Customers are the most important asset to Cococel; however, if the internal review of any refund request concludes that the service was rendered and completed, no refunds will be made. All Cococel services and products are final sale.

III. GENERAL TERMS AND CONDITIONS

A. Use of Cookies on the Website or by Application in Conjunction with the Operation and Services and the Privacy Policy

- This website uses cookies in the performance of its Services and operation. By using this website and accepting all of Cococel's Terms and Conditions, the User consents and agrees that Cococel may use cookies in accordance with its Privacy Policy, the entirety of which is incorporated herein by reference. Please see Cococel's Privacy Policy for more details.

B. No Warranties on Third-Party Services via the Website or Application

- SUPPLEMENT TO THE FOREGOING TERMS: COCOCEL OFFERS NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THIRD-PARTY DOWNLOADS AND DISCOUNTS (THIRD-PARTY SERVICE). NOR SHALL IT BE LIABLE FOR ANY COSTS OR DAMAGES ARISING DIRECTLY OR INDIRECTLY FROM ANY THIRD-PARTY SERVICE TRANSACTION. USE OF THE WEBSITE AND UNDERLYING SOFTWARE. COCOCEL DOES NOT WARRANT THAT THE APPLICATION AND UNDERLYING SOFTWARE OF THIS WEBSITE OR ITS MOBILE APPLICATION ARE ERROR-FREE OR WILL OPERATE WITHOUT FAILURE OR INTERRUPTION, OR THAT ANY DEFECTS IN THE APPLICATION AND UNDERLYING SOFTWARE WILL BE CORRECTED BY THE SOFTWARE OWNER UNDER WARRANTY.

C. Express Limitation of Liability

- IN NO EVENT SHALL COCOCEL BE LIABLE TO THE USER FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR INTERRUPTION, LOSSES, LOSS OF PROPERTY, OR THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE APPLICATION AND THE UNDERLYING SOFTWARE, EVEN IF COCOCEL OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES OF SOFTWARE, THROUGH THIS WEBSITE OR MOBILE APPLICATION.

D. Indemnification

- The user/customer agrees to indemnify, defend, and hold harmless Cococel, its officers, directors, employees, agents, shareholders, licensors, suppliers, business partners, and any beneficial owners, from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from the user's use of this website; including, but not limited to, any violation of this Agreement by the user. The provisions of this paragraph are for the benefit of Cococel LLC and its officers, directors, employees, agents, shareholders, licensors, suppliers, business partners, and beneficial owners with respect to any product sold or purchased through this website. Each of these individuals or entities shall have the right to assert and enforce these provisions directly against the user on their own behalf.

E. Devices, Software, and Data Plans

- The Services may require certain devices (e.g., computers, headphones - speakers, microphones, cell phones), software, Internet connections, and mobile and data plans. It is your responsibility to provide all devices, connections, and plans necessary to use the Services and to pay all fees charged by third parties and taxes related to your use of our services. You should check with your providers and telephone service companies for any fees that may apply for the use of the services.

F. Cococel Policies

1. Privacy Policy

- As part of the services and this agreement, Cococel will comply with the relevant data protection laws related to the user. Once your personal information, such as name, address, email, and phone number, is entered on our website, it will be subject to the terms of the Privacy Policy. Except to the extent that such disclosure is required by law or pursuant to an agreement or request issued by the Tax Regulator or other competent legal or regulatory authority, it shall be accessible only to us, our agents, or a company controlled by us; and will be processed or used by us for the purposes and in a manner consistent with the fulfillment of our obligation under the Agreement. The information obtained from you will be treated by us as confidential and will not be disclosed to third parties. By using our services and accepting this Agreement, you agree to this Privacy Policy.

a) Types of Data We Collect

We collect different types of personal data from users (first and last name, email address, phone number, purchase history, and payment methods) in order to offer a personalized experience. The data obtained is stored on our server in encrypted form to protect privacy. We collect it to offer individual attention that allows our Support team to solve the problems and needs of each client, as well as to facilitate transactions, purchases, and communication with and from our clients.

b) How to Delete Your Data from Our Application?

You can delete your account at any time from the Menu of our application, in the Settings option, and choose to Deactivate my account, or communicate your account deletion request to the Support team via email at support@cococel.com. In these ways, the data related to your personal information will be deleted from our database.

2. Bank Claim (Chargeback) Policy

- If you have any questions regarding a transaction completed with your account, we ask that you contact our Customer Service before filing a claim with your bank. This allows us to help you and resolve your issue without incurring bank CHARGES and also shortens the time the investigation between the institution and you might take.

3. In Case of a Bank Claim (Chargeback) Against Our Company,

Cococel reserves the right to disable your access to your account during the period that the investigation of the facts stated in said bank claim is carried out. Once this process is finished, Cococel will contact you to inform you of the results of said investigation and the particulars of your use of our services from that moment forward. During the investigation process, Cococel has the right to permanently disable the user's account, as well as the numbers that have been topped up, in case of irregular behavior and misuse of the system, thus ending the relationship with this customer. If any doubt arises about a transaction made by you or by a person authorized to use your account, we request that you contact Cococel as soon as possible, before contacting your banking institutions. This way we can assist in the resolution process of your problem without incurring bank FEES.

G. Fees and Payment Methods

i. Transactions with Debit Cards, Credit Cards, or Bank Accounts

- Payments are made with VISA, Mastercard, Amex, Discover debit and/or credit cards, or a bank account. Other payment methods such as gift cards, cash, or any other means will not be accepted. All these authorized payment methods must have a valid billing address and a card-issuing bank. Once a top-up is requested, the transaction authorization proceeds. After verifying that there are available funds on the card, the top-up is sent and, after receiving delivery confirmation, Cococel will proceed to receive the previously authorized funds. Subsequently, the user will receive an email confirmation that the transaction has been successful. In case the requested top-up by the client cannot be executed correctly, the prior authorization will be canceled, and the client's card will not be processed. Cococel is not obligated to perform any type of authentication or identity verification other than those that Cococel deems appropriate and sufficient to protect the security and maintain the proper use of this website and mobile application. All debits concluded after correct authentication or identity verification are the sole responsibility of the user. Cococel will accept liability for the non-execution or defective execution of Top-Ups made through the website or mobile application, subject to your adherence to this Agreement, the correct use of the website following Cococel's instructions, and the absence of any falsehood, fraud, or negligence on your part. Such liability, should it occur, will be strictly limited to the amount of the Top-Up for non-executed or defective transactions.

ii. Cococel Fees and Charges

- Cococel charges exactly the amount shown at the end of your transaction. There are no taxes or hidden charges. In addition to processing and service fees, third-party providers may charge for the use of the Services or for currency conversions. Third-party provider fees may vary depending on telephone service companies, local partners, local telecommunications companies, mobile phone operators, location, and type of services. It is your responsibility to find out if users of the Services or those who purchase credits will incur charges from third-party providers and you must pay such charges. Cococel assumes no responsibility for any discrepancy between the fee information that appears on the site and those that are actually charged by your provider. Cococel's fees and other providers' fees will also apply during promotional periods.

iii. Promotions

- Cococel will run promotions and campaigns for all users who have consented to receive marketing material from Cococel. Information on such promotions will be available on the website, the mobile application, and/or will be provided via emails, SMS, or PUSH notifications (the promotional date and its limitations, if any, will be included in each campaign). These campaigns may offer special promotions from Cococel, so promotions may be limited in time and in the use of the benefits they award. The general Terms and Conditions for promotions and campaigns include, but are not limited to: certain offers will only be valid for new users upon signing up (canceling an account and/or then re-registering with the same phone number or email will not be considered a new registration).
a. All payments made within the scope of mobile top-up campaigns are non-refundable and non-transferable.
b. Cococel reserves the right to reject or terminate a campaign at any time and for any reason, at Cococel's sole discretion.
c. Cococel reserves the right to modify, add, or remove the conditions of any offer after it has been promoted.

H. COMMUNICATION AND NOTIFICATIONS

- By default, Cococel will send notifications and communications using the contact information stored in the user's profile. Your data may be used to notify you about information regarding our offers, the status of your transactions, or other notifications sent by Cococel. The user can accept or decline to receive these notifications. Similarly, if at any time you wish to stop receiving future notifications, precise instructions on how to suspend the service are included at the end of each email or SMS. This is how you can revoke permission to receive text messages to the number listed in your profile. You can also request to stop receiving notifications by writing to the email address: support@cococel.com

I. SERVICE SUSPENSION

- Cococel may terminate this Agreement and suspend the use of the website and/or the services provided if: a failure or malfunction occurs in any System used in connection with the website or mobile application. The same procedure will be followed if the security of the System is at risk. Such suspension may be temporary, for a reasonable period until the system issue is resolved, without incurring any liability to you.

J. YOUR CONTRIBUTIONS

- By submitting any comments, suggestions, ideas, or other materials to Cococel in connection with or through the web or the services provided, you agree that we may use, reproduce, publish, modify, adapt, and transmit such communication free of charge to third parties and without restrictions, without prejudice to the obligations as provided in the Privacy Statement.

K. SECURITY, MAINTENANCE, AND AVAILABILITY

- In order to improve our services and provide higher quality to its users, Cococel may, for security, maintenance (whether emergency or planned), updates, or other reasons, interrupt certain or all Services to the customer; and/or delay the implementation of any new Service; and/or withdraw, replace, or re-issue passwords; and/or change authentication procedures or processes for accessing the Website or the Services, although we will do our best to minimize any inconvenience caused.

L. TERMINATION OF AGREEMENT

- Cococel may terminate this Agreement and withdraw the use of this Website and/or the services provided immediately upon your breach of any of the Terms or when there are reasonable grounds for termination. Similarly, it will be terminated if there are grounds to believe that any of the services have been rendered negligently, illegally, or fraudulently by you or by a third party as a result of your negligence or recklessness. Once the decision is made, you will be notified in writing via email. This Agreement has no minimum or finite duration and will remain binding on the parties until terminated. We reserve the right to process or cancel any ongoing transactions upon the termination of this Agreement or upon the suspension or withdrawal of the Services. We are not responsible for any loss you may incur as a result of any transaction that is not processed as part of the Services after the termination of the Agreement or after any suspension or withdrawal of the Services.

M. VARIATIONS TO THE AGREEMENT

- Cococel reserves the right to modify the Agreement. Such changes will become effective within a period of fourteen (14) business days after the notification of such variation has been sent to the user by any of the following means: postal mail, email, or by posting a message on this website. You will have the full right, upon receiving notice of any modification to this Agreement, to terminate it immediately by providing written notice to support@cococel.com, without prejudice to any rights or obligations that may have arisen before the date of termination, including liability for any indebtedness on any account or any other financial, legal, or other obligation that has arisen prior to the date of termination.

N. INTELLECTUAL PROPERTY

- Cococel owns all rights to any accompanying logos, as well as the domain names https://www.cococel.com. Likewise, it is attributed ownership rights in all data, information, Systems, or other materials used for the provision of services, with Cococel or its licensors being the sole owner. The user shall only make use of them for the purpose of receiving the services as reflected in the Agreement. Any reproduction of the contents of the website in any form without prior consent is prohibited. In the event of non-compliance or violation of said agreement, we have the full right to seek protection with respect to any of the aforementioned rights.
